BUDGET IMAGES LICENSE AGREEMENT

This is a binding legal agreement between Matton AB, Budget Images, and you. If you make this agreement on behalf of your employer or client, the same rights, limitations and restrictions apply to your employer or client. Please read this license agreement carefully before using any images. By downloading an image from this website, you agree to be bound by the terms of this agreement. If you do not agree with the terms of this license agreement, promptly click on your browser's back button to decline this agreement.

GRANT OF RIGHTS
Matton AB grants you (or your employer or client) a personal, non-transferable, non- exclusive right to transfer an image, or collection of images (collectively "Images") on your personal computer. Images may be shared by creating an Image library so long as no more than 10 specific individuals, all of who must be employed by the same entity, have access to the Images. When calculating this user limitation, please note that no more than 10 individuals may have access to the Images, even if only 10 people are accessing the Images at any particular time. To use this product with more than 10 individuals, please contact our customer support team at license@matton.se.

PERMITTED USES
You may not use the Images in any manner that is not expressly permitted in this agreement.

All rights not expressly granted by this agreement are retained by Matton AB. The Licensee is permitted to:

• Use the Image(s) in perpetuity on a worldwide basis in personal or commercial uses in: advertising, promotional materials, and/or packaging; broadcast or theatrical exhibition; online or electronic distribution including web design (no greater than 640x480 pixels, 72 dpi); for electronic or print publication; or for personal non- commercial use including test, sample, comp or layout
• Use the Image(s) in a product for re-sale of any quantity providing the Image(s) is NOT the essential element of the product (such as T-shirts, posters, book covers, greeting cards, wrapping paper, etc.)
• Provide a temporary copy to others of the Image(s) and Derivative Works, including any software ("the Product") which are an integral part of the Licensee's work product and reasonably required to produce a finished product in the normal course of the Licensee's workflow;
• Make a single copy of the Images for back-up purposes. Licensee may alter, crop, manipulate and create derivative works of the Licensed Material

PROHIBITED USES
The Licensee is not permitted to:

• Post any Image(s) on any electronic bulletin board;
• Put the Image(s) on-line in a downloadable format, or use the Images in a website at a resolution higher than 72dpi, or disassemble, decompile or "unlock", reverse engineer, translate or otherwise decode the Product for any reason;
• Incorporate Image(s) into products offered for sale where the Image(s) is the essential element of the product (such as T-shirts, posters, book covers, greeting cards, wrapping paper, etc.).
• Use or permit the use of the Image(s), or any part thereof, as a trademark or service mark, or claim any proprietary rights of any sort in the Image(s), or any part thereof;
• Sell, sublicense, distribute or otherwise grant rights or make available for use by others all or a portion of the Image(s) in form or formats designed or intended for re- use of the Image(s).

This license is in force until it is terminated by Matton AB pursuant to the provisions as to termination below. Upon termination, the Product must be returned to Matton AB. immediately and any back-up copies must be destroyed forthwith.

PROHIBITED SENSITIVE USE
Pornographic, defamatory, or libelous use of the Image(s) is prohibited. Use of the Image(s) as a trademark or service mark, is prohibited. You may not use the Image(s) that depicts or identifies a real person in connection with sensitive subject matter (e.g. sex, promiscuity, abortion, birth control, political, religious, physical and mental ailments, illicit drugs, tobacco, firearms, infectious diseases, or the disparagement of a product or person.) The Image(s) may not otherwise be used in a manner that is unlawful or misleading. Using the Images in a way not specifically permitted or prohibited by this agreement, without prior written consent from Matton AB, is a violation of Copyright law.

ARTWORK
Please note that this license does not cover any fees for commercial usage of any Image(s) depicting "works of art". The user of this license is liable to obtain permission for commercial use of Image(s) depicting works of art. Please contact us for more information regarding securing permission for commercial use any Image(s) depicting works of art.

COMP IMAGES
By downloading a comp image from this website, you agree not to use the images for any other purpose than in-house review only. The images may not be used for final art or commercial purpose.

GENERAL
All rights in and title to the Image(s) and software involved in the distribution of the Images are owned by Matton AB's licensors/ photographers and protected by copyright and other laws. No title to or intellectual property rights in the Image(s) are transferred to you. All rights not expressly granted are reserved. The Image(s) may not be transferred by you without the prior written consent of Matton AB. This license will terminate automatically without notice from Matton AB if you fail to pay in full for any Image(s) or breach any of its provisions. For purposes of this license, the singular includes the plural and vice-versa. This agreement may not be modified except in writing, duly signed by Matton AB. This agreement will be governed in all respects by the laws of Sweden, and venue for all disputes arising under this agreement, or your use of the Images, shall lie exclusively in the Court of Stockholms Tingsrätt.

LIMITED WARRANTY AND LIMITATIONS OF LIABILITY
Matton AB warrants the Images to be free from defects in material and workmanship for 60 days from delivery. Your sole and exclusive remedy for a breach of this warranty is the replacement of the Image(s) or refund of the purchase price, at Matton AB's option.

MATTON AB MAKES NO OTHER WARRANTY, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. NEITHER MATTON AB, ITS PHOTOGRAPHERS NOR ITS LICENSORS SHALL BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY GENERAL, SPECIAL, DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR OTHER DAMAGES ARISING OUT OF THIS AGREEMENT OR YOUR OR ANY THIRD PARTY'S USE OF THE IMAGES. IF MATTON AB SHALL HAVE ANY LIABILITY OF ANY KIND TO YOU OR ANY THIRD PARTY BY VIRTUE OF THIS LICENSE OR YOUR OR ANY THIRD PARTY'S USE OF THE IMAGES, YOU AGREE THAT THE TOTAL AGGREGATE LIABILITY OF MATTON AB SHALL NOT EXCEED THE LICENSE FEE YOU PAID FOR THE IMAGE. THIS LIMITATION OF LIABILITY REFLECTS AN ALLOCATION OF RISK BETWEEN YOU AND MATTON AB IN VIEW OF THE NOMINAL LICENSE FEE CHARGED.
